Neurolonic — Corporate & Intellectual Property Clarification

1. Separate Corporate Entities

Neurolonic UG (haftungsbeschränkt) is a Berlin, Germany-based company.

Neurolonic Inc. is the company’s U.S. corporate entity.

Neurolonic UK Ltd is a separate UK legal entity and should not be represented as being part of Neurolonic UG or Neurolonic Inc. unless there is a formally documented corporate, licensing or other legal relationship authorizing such representation.

2. Neurolonic UK Ltd / Kiruba Dharamraj

During our internal due-diligence and legal review, concerns were identified regarding the representation of Neurolonic UK Ltd, including the use of the Neurolonic name and company-related information.

Neurolonic UG has not authorized or granted a licence or assignment for its proprietary technology, intellectual property, website materials, branding, logo, research materials or confidential company information to be used independently by Neurolonic UK Ltd or third parties.

The matter has therefore been referred to the appropriate legal channels, and legal proceedings/actions have been initiated in relation to the matters under review.

3. Former Volunteer / TS Abrish Giftson

Neurolonic also clarifies that Abrish Giftson was involved with Neurolonic on a volunteer/independent basis and was not an employee of Neurolonic.

He was not formally appointed as Founder, CEO, Director, Officer or authorized representative of Neurolonic.

Following internal review and due-diligence concerns, he is no longer associated with Neurolonic.

Neurolonic has also become aware of representations and use of Neurolonic-related titles and company materials in connection with certificates and other activities that were not authorized by Neurolonic. These matters are being addressed through the appropriate legal channels.

Neurolonic has not authorized him to sell, issue or commercially represent Neurolonic certificates or to represent himself as an authorized Neurolonic representative.

4. Intellectual Property & Brand Protection

Neurolonic takes the protection of its name, logo, technology, intellectual property, research materials, website content and corporate information seriously.

Any third party using Neurolonic materials, branding, technology or company information should not be assumed to have authorization from Neurolonic UG or Neurolonic Inc. unless such authorization is supported by a formal agreement or licence.

Where unauthorized use has been identified, Neurolonic is pursuing the matter through the appropriate legal and regulatory channels.

Important Notice

This statement is intended to clarify Neurolonic’s corporate structure and the company’s position regarding the use of its name, intellectual property and materials. The legal matters referred to above remain subject to the applicable legal proceedings and determinations of the competent authorities or courts.
